Seller Agreement

Each seller on the Menagerie Platform is an independent seller, not an employee, agent, partner, joint venturer, or representative of Menagerie. Menagerie is a neutral marketplace platform that provides infrastructure for independent sellers to list, promote, and sell eligible animals and products to buyers.

Menagerie does not own, possess, or control listed animals or products, does not act as a seller or broker, and does not participate in the physical transfer of animals. Sellers are solely responsible for their conduct, listings, and transactions.

Sellers agree to:

• provide truthful, accurate, and complete descriptions of all listed animals and products;
• hold lawful ownership and possession of all listed items at the time of listing;
• not list prohibited, restricted, endangered, federally protected, or otherwise unlawful species;
• honestly disclose health status, lineage, captive-bred or wild-caught origin, husbandry requirements, and shipping terms; and
• comply with all applicable Platform policies at all times.

Sellers are solely responsible for compliance with all applicable laws and regulations, including:

• the Lacey Act and all federal wildlife laws;
• USDA and APHIS regulations;
• state wildlife, aquaculture, and invasive species laws;
• carrier restrictions and shipping regulations;
• applicable import and export laws; and
• all permit and licensing requirements for listed species.

Sellers must independently determine the legality of each listing in every destination jurisdiction they ship to. Menagerie compliance tools are a safety layer and do not constitute legal verification or advice.

Sellers are solely responsible for:

• independently arranging all shipments through lawful carriers;
• complying with all applicable carrier policies and live animal standards;
• using appropriate packaging that meets carrier requirements and live animal welfare standards;
• evaluating weather conditions before shipping and declining to ship when conditions pose unacceptable risk;
• verifying that shipment to the buyer's destination is lawful; and
• ensuring all required permits accompany the shipment where applicable.

Menagerie is not responsible for shipment outcomes, carrier decisions, weather delays, confiscations, DOA claims, or any loss or damage arising from shipping.

Platform fees are deducted from seller proceeds per the then-current fee schedule published on the Platform. Payment processing is handled through third-party providers, and sellers agree to any applicable terms of those providers.

Chargebacks and payment disputes are handled per Platform policy. Menagerie reserves the right to withhold seller proceeds pending resolution of disputes, fraud investigations, or compliance reviews.

Sellers may not:

• list venomous or medically significant animals where prohibited by Platform policy;
• list native wildlife;
• list wild-caught animals without required disclosures and documentation;
• falsely represent wild-caught animals as captive-bred;
• manipulate bids, offers, or auction processes;
• circumvent Platform fees or payment systems; or
• engage in any fraudulent, deceptive, or abusive conduct toward buyers or the Platform.

Menagerie may remove listings, suspend seller accounts, restrict Platform access, or permanently ban sellers at its sole discretion, with or without prior notice. Grounds for action include, without limitation, policy violations, illegal conduct, fraud, misrepresentation, animal welfare violations, and regulatory concerns.

Sellers agree to defend, indemnify, and hold harmless Menagerie and its affiliates, owners, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: seller listings; seller conduct; shipments; possession, sale, or transfer of animals; permit failures; animal welfare violations; misrepresentations; regulatory enforcement actions; or violations of this Agreement or Platform policies.

By publishing a listing on the Platform, the seller certifies that:

• the seller legally possesses the listed animal or product;
• the listing complies with all applicable federal, state, and local laws;
• the listed animal is not native wildlife taken in violation of law;
• the listed animal is captive-bred where required by Platform policy or law;
• the listed animal is not a prohibited or venomous species under Platform policy; and
• the seller accepts sole responsibility for arranging lawful shipping.
